Our clients include SMEs, fast growing entrepreneurial businesses, start-ups, private individuals and business owners across many industry sectors. The advice and support that we deliver covers the key contracts and agreements that are needed by businesses on a day to day basis such as franchise agreements, terms of business, loan agreements and data protection policies and extends to significant corporate transactions. We work closely with tax advisers and accountants to ensure that advice tailored to your transaction is provided.
Mergers and acquisitions
Whether you are selling your business or acquiring a new one, our team will help you through what can often be a complex and daunting exercise. We can manage the process for you, from carrying out the initial due diligence through to completion.
Venture capital and private equity investment
We advise private equity and venture capital investors on a broad range of investments, acquisitions and exits. We have a wealth of experience in acting on both sides of corporate venturing transactions.
Start-ups and entrepreneurial businesses
Many of our clients are start-ups seeking to grow their own business. Other clients are owner managers that generations before them have started. We have knowledge of a wide range of business structures and can advise you on the most appropriate structure for your business. We can help nurture your business from incorporation and assist you with your legal requirements at every stage of its development.
Partnerships and LLPs
The most suitable structure for your business may be a traditional partnership or a limited liability partnership (LLP). We can guide and advise you on the tax implications, the associated risks, and the rules applicable to the partnership structure compared to the other forms of business structures. We have particular expertise in the dental sector, whether you are proposing to enter into a traditional partnership or an expense share arrangement.
Joint Venture and collaboration agreements
We can assist you to ensure that your joint venture agreement meets your specific objectives, whether it is a contractual joint venture or as a more formal incorporated joint venture where a separate business (or special purpose vehicle) is set up. Our advice will be tailored to your industry sector to ensure that the joint venture agreement includes provisions required for both parties’ aims and objectives.
Shareholders’ agreements
A shareholders agreement is a document detailing an agreement of terms amongst the shareholders of the company. It governs the business relationship between the company and each shareholder and can be used to put restrictions on the way shareholders can dispose of and otherwise deal with their shares and protect minority shareholders’ interests. Without an agreement in place, the company itself can be at risk or expensive litigation may become necessary. We have extensive experience in advising on and preparing shareholders’ agreements tailored to specific requirements.
Company secretarial
We provide a full range of company secretarial services which include preparing notices of board and shareholder meetings, minutes of such meetings and written shareholder resolutions, filing forms at Companies House, keeping company books up to date and preparing and filing annual returns at Companies House.
Healthcare sector support
Wellers has developed extensive expertise and knowledge in the healthcare services sector. Dental practices, pharmacies and care homes all require specialist understanding of Care Quality Commission and NHS issues and regulation. Our familiarity with the healthcare market covers buying and selling strategies as well as partnership, shareholders’ and expense share agreements as well as associate and employment contracts for the sector.
